SaloSync Terms of Service

1. Acceptance of Terms

By accessing or using SaloSync, you agree to be bound by these Terms. If you do not agree to these terms, please discontinue use of our platform.

2. The Platform's Role

SaloSync acts as a neutral facilitator connecting Clients with Merchants, Vendors, and Crew. We do not provide catering, cooking, or delivery services ourselves. We are not a party to the contracts formed between users.

3. User Accounts & Responsibilities

• Unified Login: Your account allows access to multiple roles. You are responsible for maintaining the confidentiality of your login credentials.
• Accuracy: You agree to provide accurate information (e.g., business name, contact details). Impersonation or fraudulent representation is strictly prohibited.
• Role Integrity: You must use the platform only for the role(s) for which you are authorized (e.g., Merchants managing their own store).

4. Bidding & Transaction Rules

• Bidding Integrity: When an Elite Merchant submits a bid, it is a professional offer. Bids should be made in good faith.
• Payment Processing: All payments processed through SaloSync are subject to our platform fees. Attempting to move transactions "offline" to avoid fees is a violation of these terms and may result in permanent account suspension.
• Refunds: Disputes regarding food quality, delivery, or service must be resolved directly between the Client and the Merchant. SaloSync may mediate but is not obligated to provide refunds unless explicitly stated in our Service Guarantee.

5. Content Ownership & Use

• Merchant Content: You retain ownership of your menus, photos, and branding. However, by uploading content, you grant SaloSync a worldwide, royalty-free license to display, distribute, and promote your content on our platform and marketing channels.
• Prohibited Content: You may not upload content that is illegal, defamatory, infringes on intellectual property, or is offensive.

6. Sub-domain Usage

Merchants granted a sub-domain (e.g., brand.salosync.ph) understand that:

• This remains property of SaloSync.
• You may not use sub-domains for malicious activities.
• We reserve the right to reclaim or revoke sub-domains that violate our policies or remain inactive for extended periods.

7. Intellectual Property

All platform-specific code, designs, logos, and proprietary algorithms (such as our AI Menu Builder and analytics dashboard) are the exclusive property of SaloSync.

8. Limitation of Liability

SaloSync provides this platform "as is." We are not liable for:

• Indirect, incidental, or consequential damages arising from the use of our service.
• Acts or omissions of third-party users (caterers, crew, or vendors).
• Interruptions in service caused by third-party hosting (e.g., Cloudflare).

9. Termination of Service

We reserve the right to suspend or terminate accounts that engage in:

• Fraudulent bidding or payment practices.
• Harassment of other users.
• Violations of these Terms of Service.
